The Code of Conduct sets out the ethical standards, professional responsibilities and regulatory principles governing the activities of CandleSignals, the research services brand of B-CUBE Consulting Private Limited, and its Research Analysts.This Code has been adopted in accordance with the SEBI (Research Analysts) Regulations, 2014 and reflects our commitment to integrity, independence, transparency, investor protection and regulatory compliance.

1. Purpose

The purpose of this Code of Conduct is to establish the ethical and professional standards expected from CandleSignals and its Research Analysts while providing research services under the SEBI (Research Analysts) Regulations, 2014.

The Code seeks to promote:

2. Integrity and Fairness

Research Analysts shall:

  • Act honestly, fairly and in the best interests of investors.
  • Exercise due skill, care and diligence.
  • Maintain high standards of integrity and professional conduct.
  • Avoid any act that may compromise investor confidence or market integrity.

3. Independence and Objectivity

Research Analysts shall:

  • Maintain independence while preparing research recommendations.
  • Base recommendations on objective analysis and documented research methodologies.
  • Avoid any undue influence from issuers, intermediaries or third parties.
  • Disclose material conflicts of interest wherever applicable.

4. Professional Standards

Research Analysts shall:

  • Maintain professional competence.
  • Continuously update knowledge of securities markets and applicable regulations.
  • Exercise reasonable judgement while issuing research recommendations.
  • Maintain appropriate records as required under applicable regulations.

5. Confidentiality

Research Analysts shall:

  • Protect confidential client information.
  • Use client information only for authorised purposes.
  • Prevent unauthorised disclosure except where required by law or regulatory authorities.

6. Regulatory Compliance

CandleSignals shall:

  • Comply with the SEBI (Research Analysts) Regulations, 2014.
  • Comply with applicable SEBI circulars and directions.
  • Maintain internal policies and procedures for regulatory compliance.
  • Cooperate with regulatory inspections and audits.

7. Conflicts of Interest

CandleSignals shall:

  • Identify actual or potential conflicts of interest.
  • Maintain appropriate conflict management procedures.
  • Disclose material conflicts wherever required.
  • Ensure that conflicts do not compromise research independence.

8. Communication with Investors

Research Analysts shall:

  • Communicate clearly and fairly.
  • Avoid misleading statements.
  • Avoid exaggerated claims or promises.
  • Never assure or guarantee investment returns.
  • Ensure that communications comply with applicable regulatory requirements.

9. Ethical Use of Technology

Where technology, automation or Artificial Intelligence tools are used in research workflows:

  • Human oversight shall always be maintained.
  • AI shall not independently issue research recommendations.
  • CandleSignals shall remain responsible for every research recommendation issued under its SEBI registration.

Important Regulatory Notice

This Code of Conduct has been adopted in accordance with the SEBI (Research Analysts) Regulations, 2014 and applicable SEBI circulars. It should be read together with the Mandatory Disclosures, Investor Charter, Client Agreement, Risk Disclosure & Disclaimer and other regulatory documents published by CandleSignals.

All Research Analysts and associated personnel are expected to adhere to the principles set out in this Code while carrying out research activities.
